Terms
of Use

By booking a consultation, accepting a quotation, or commissioning any project with Artworld Branding & Design ("Artworld", "we", "us"), you ("the Client") agree to these Terms of Use. They form the legal basis of our working relationship.

These terms are governed by the laws of the Republic of Kenya. Disputes shall be subject to the jurisdiction of Kenyan courts.

Artworld provides creative and production services including:

• Brand identity design (logos, guidelines, stationery)
• Packaging design and production
• Large format and normal print production
• Website design and development
• Vehicle and mobile branding
• Interior branding, signage, and décor
• Artworld Wear (branded uniforms and apparel)
• Digital marketing materials and business branding packages

All services are subject to a written quotation accepted before work commences. Work outside the agreed scope will be quoted separately.

• Validity — Quotations are valid for 14 calendar days from issue. Prices may change after expiry.
• Acceptance — An order is confirmed once the Client accepts the quotation in writing (email, WhatsApp, or portal) and the deposit has been received.
• Scope changes — Changes after confirmation will be quoted as a variation order and require written approval before work proceeds.
• Cancellation — Cancellations after work has commenced are charged for time and materials already expended. The deposit is non-refundable once design work has begun.

Our standard payment schedule:

• Deposit (50%) — required before any work commences. No work begins until the deposit is confirmed received.
• Balance (50%) — due before delivery or handoff of final files. Final assets will not be released until full payment is received.
• Variations — invoiced separately, due within 7 days of invoice date.
• Late payments — accounts overdue by more than 14 days may incur 1.5% monthly interest and suspension of active work.

Accepted methods: M-Pesa (Paybill/Till), bank transfer (Equity Bank Kenya), and cash in-office. All prices are in Kenyan Shillings (KES) and inclusive of applicable VAT unless stated otherwise.

Standard packages include a defined number of revision rounds per quotation. Where unstated, two rounds are included.

• Revision — minor changes to an approved concept (copy corrections, colour tweaks, resizing). New concepts or direction changes constitute a new scope.
• Client approval — once approved in writing, a design is final. Post-approval changes are charged as additional work.
• Production release — artwork goes to print only after written Client approval. Artworld is not liable for errors in approved artwork.
• Response window — revision feedback must be submitted within 5 working days. Delays may affect the project timeline.

• Timelines — production timelines are estimates. We communicate delays promptly. Artworld is not liable for delays caused by supplier lead times, courier issues, or client-side approval delays.
• Delivery charges — delivery outside Narok Town is subject to an additional logistics fee quoted at time of order.
• Risk of loss — risk transfers to the Client upon handoff to the courier or upon the Client collecting goods.
• Damaged goods — damage must be reported within 24 hours of delivery with photographic evidence.

Upon receipt of full payment:

• Ownership transfer — copyright in the final, approved artwork transfers to the Client. Working files and source files remain Artworld's property unless explicitly included in the deliverables.
• Portfolio rights — Artworld retains the right to display completed work in our portfolio and marketing materials unless the Client requests confidentiality in writing.
• Third-party assets — the Client is responsible for ensuring usage of any licensed stock, fonts, or images complies with their respective licences.
• Client-supplied assets — by supplying materials, the Client warrants ownership or right to use, and indemnifies Artworld against any third-party claims.

• Maximum liability — our total liability shall not exceed the total amount paid for that specific project.
• Approved artwork errors — Artworld is not liable for errors in artwork approved by the Client in writing before production.
• Colour accuracy — printed colours may vary slightly from screen. Physical proofs are available on request at additional cost.
• Indirect losses — we are not liable for loss of revenue, business opportunity, or any consequential loss.
• Force majeure — we are not liable for delays beyond our reasonable control (power outages, internet failures, natural disasters, civil unrest).

The Client agrees to:

• Provide accurate, complete, and timely briefs, feedback, and approvals.
• Respond to review requests within 5 working days.
• Ensure all supplied assets are owned or licensed for the intended use.
• Not commission work that infringes third-party intellectual property rights.
• Keep portal login credentials confidential and notify us immediately of suspected unauthorised access.

Both parties agree to keep confidential any proprietary information shared during a project — including business strategies, unreleased products, and pricing — for a period of 3 years after project completion.

Artworld operates a least-privilege access policy: only team members directly working on your project will access your files.

Either party may terminate a project with written notice. Upon termination:

• The Client shall pay for all work completed to the date of termination.
• The deposit is non-refundable if design work has commenced.
• Artworld will provide all completed deliverables paid for up to that point.
• Artworld may terminate immediately if the Client requests illegal or harmful work.

We may update these terms from time to time. Changes are posted on this page with an updated date. Active clients will be notified by email of significant updates. Continued use of our services constitutes acceptance.
